validity, interpretation, construction and performance of this Agreement shall
be governed by and construed in accordance with the substantive laws of the
State of Ohio, without giving effect to the principles of conflict of laws of
such State. The Company and Indemnitee each hereby irrevocably
consent to the jurisdiction of the state and Federal courts in Ohio for all
purposes in connection with any action or proceeding which arises out of or
relates to this Agreement and agree that any action instituted under this
Agreement shall be brought only in the state or Federal courts in
Ohio.
18. Governing Law. The

Agreement, recipients of an Award and their beneficiaries, estates, successors
and assignees are deemed to submit to the exclusive jurisdiction and venue of
the federal or state courts of Ohio, to resolve any and all issues that may
arise out of or relate to this Plan or any related Award Agreement.
