Item 1.01

Entry into a Material Definitive Agreement.

On June 1, 2012, First Busey Corporation (the “Company”) and JPMorgan Chase Bank, N.A. (“JPMorgan”) entered into that certain Note Modification Agreement, dated as of June 1, 2012 (the “Note Modification Agreement”), amending that certain Line of Credit Note, dated as of May 31, 2009, as subsequently amended on each of June 1, 2010 and May 31, 2011. Pursuant to the Note Modification Agreement, the Company and JPMorgan extended the maturity date of the Company’s existing $20 million line of credit to May 31, 2013.

A copy of the Note Modification Agreement is attached hereto as Exhibit 99.1.
