Item 1.01 Entry into a Material Definitive Agreement On June 15, 2012, certain affiliates of First Cash Financial Services, Inc. (hereafter the “Company”), Mister Money Investments, Inc., L&W Properties, LLC, Mister Money - - RM, Inc., Mister Money - - KY, Inc., LWC, LLC and MMRD, LLC (hereafter “Sellers”), entered into a membership interest, stock and asset purchase agreement (the “Agreement”) pursuant to which the Company acquired from Sellers certain membership interests, stock and assets of Sellers, which own and operate a chain of 24 pawn stores located in the states of Colorado, Kentucky, Wyoming and Nebraska. The closing of the transactions contemplated by the Agreement occurred simultaneously with the signing on June 15, 2012. The purchase price for the all-cash transaction was approximately $25,500,000. The foregoing description of the Agreement and the transactions contemplated thereby does not purport to be complete and is qualified in its entirety by the terms and conditions of the Agreement, which is filed as Exhibit 10.1 hereto, and incorporated into this report by reference.
