On February 23, 2016, the Board of Directors of First Community Bancshares, Inc. (the “Company”) voted to amend and restate the bylaws of the Company to, among other things, incorporate new provisions regarding the indemnification of directors and officers and establish a forum for the adjudication of disputes. The Amended and Restated Bylaws of the Company are attached hereto as Exhibit 3.1 and incorporated herein by reference.
