On April 26, 2016, First Community Bancshares, Inc. (the “Company”) announced by press release its earnings for the first quarter of 2016. A copy of the press release is attached hereto as Exhibit 99.1.
On April 26, 2016, the Company held its annual shareholders’ meeting. At the meeting, the Company’s shareholders: (i) elected all persons listed below under Proposal 1 to serve as director of the Company for a term that will continue until the 2019 annual meeting of shareholders and (ii) ratified the appointment of Dixon Hughes Goodman LLP as the Company’s independent registered public accounting firm.
The following tables summarize voting results by the Company’s shareholders.
Proposal 1: To elect two directors to serve until the 2019 annual shareholders’ meeting.
Proposal 2: To ratify the appointment of Dixon Hughes Goodman LLP as the Company’s independent registered public accounting firm.
On April 26, 2016, the Company announced by press release its quarterly cash dividend to common stockholders of fourteen cents ($0.14) per common share, payable on May 20, 2016, to shareholders of record on May 6, 2016. A copy of the press release is attached hereto as Exhibit 99.1.
