This excerpt taken from the FL 8-K filed May 21, 2008. . Conduct of Business and Maintenance
of Existence. The Company will continue,
and will cause each Subsidiary to continue, to engage in business of the same
general type as now conducted by the Company and its Subsidiaries, and will
preserve, renew and keep in full force and effect, and will cause each Subsidiary
to preserve, renew and keep in full force and effect their respective existence
and their respective rights, privileges and franchises necessary or desirable
in the normal conduct of business, except where failures to possess such rights,
privileges and franchises could not, in the aggregate, reasonably be expected
to result in a Material Adverse Effect; provided that nothing in this Section shall prohibit (i) any merger
or consolidation permitted under Section 5.11 or (ii) the termination of the
existence of any Immaterial Subsidiary if the Company in good faith determines
that such termination is in the best interests of the Company and is not materially
disadvantageous to the Banks.
