The purpose of the Foot Locker 2007 Stock Incentive Plan (the Plan) is to align the interests of officers, other employees and nonemployee directors, of Foot Locker, Inc. and its subsidiaries (collectively, the Company) with those of the shareholders of Foot Locker, Inc. (Foot Locker); to reinforce corporate, organizational and business development goals; to promote the achievement of year to year and long range financial and other business objectives; and to reward the performance of individual officers, other employees and nonemployee directors in fulfilling their personal responsibilities for long range achievements. 2.
