Without limitation, including Section 11.9, the members of the
Committee shall be indemnified by the Company against any and all liabilities
arising by reason of any act, or failure to act, pursuant to the provisions of
the Plan, including expenses reasonably incurred in the defense of any claim
relating to the Plan, even if the same is judicially determined to be due to
such member’s negligence, but not when the same is judicially determined to be
due to the gross negligence or willful misconduct of such member.
