“Material Adverse Effect” means a material adverse effect (a) on the business, financial condition, operations or Properties of a Subsidiary Guarantor taken as a whole or (b) on its ability to perform its obligations hereunder.

 

“Material Adverse Effect” means a material adverse effect on (a) the business, operations, affairs, financial condition, assets or properties of the Company and its Subsidiaries taken as a whole, (b) the ability of the Company to perform any of its material obligations under any Note Document, (c) the ability of any Subsidiary Guarantor to perform any of its material obligations under any Note Document, or (d) the validity or enforceability of any Note Document.
