(a) The service of process upon the Agent, any Revolving Credit Lender or any Term Loan Lender or any Participant seeking to attach, by trustee, mesne, or other process, any funds of any Borrower on deposit with, or assets of any Borrower in the possession of, the Agent, that Revolving Credit Lender, that Term Loan Lender or such Participant, which funds or other assets are valued at $2,500,000 or greater.
(b) The entry of any judgment in excess of $2,500,000 against any Borrower, which judgment is not satisfied (if a money judgment) or appealed from (with execution or similar process stayed) within Thirty (30) days of its entry.
(c) The entry of any order or the imposition of any other process having the force of law, the effect of which is to restrain in any material way the conduct by any Borrower of its business in the ordinary course.
