Section 2.Duties and Scope of
Employment
(a)
Position. The Company will employ Executive in the positions of Chief Executive Officer and President (“CEO”) commencing on the Effective Date. Executive shall be
given such duties, responsibilities and authorities as are appropriate to Executive’s position. The Chairman of the Company’s Board of Directors (the “Board”) will recommend to the Board that Executive be made a Director of the
Board.
(b)
Obligations. Executive shall devote Executive’s full business efforts and time to the business and affairs of the Company as needed to carry out Executive’s duties
and responsibilities, reporting to the Board.
