Eligible Assignee” means (a) any Bank approved by each Issuing Bank; (b) any Affiliate of a Bank approved by each Issuing Bank; (c) any Approved Fund approved by each Issuing Bank; and (d) any other Person (other than a natural Person) approved by (i) the Administrative Agent, (ii) each Issuing Bank and (iii) unless (x) such Person is taking delivery of an assignment in connection with physical settlement of a credit derivatives transaction or (y) an Event of Default has occurred and is continuing, the Company (each such approval not to be unreasonably withheld or delayed).
