have engaged Georgeson Shareholder Communications Inc. to help
us solicit proxies from stockholders for a fee of $15,000, plus
reimbursement of out-of-pocket expenses. In addition to
Georgeson, our directors, officers and regular employees may,
without additional compensation, solicit proxies personally or
by e-mail,
telephone, fax or special letter. We will reimburse banks,
brokers and other custodians, nominees and fiduciaries for their
costs of sending the proxy materials to our beneficial owners.
