ITEM 4. Submission of Matters to a Vote of Security Holders

        The annual meeting of shareholders of the Company was held on May 12, 2005. Holders of 26,243,823 shares of common stock were present in person or by proxy at the meeting. At the meeting, the Company’s shareholders elected each of the director nominees, approved the 2005 Equity Incentive Plan and approved the 2005 Executive Incentive Compensation Plan. The votes of the shareholders were as follows:
