REPORT OF THE AUDIT COMMITTEE OF THE BOARD OF DIRECTORS The Audit Committee (the Committee) of the board of directors is comprised entirely of independent directors who meet the independence requirements of the Marketplace Rules of NASDAQ and the SEC. The Committee operates pursuant to a charter that is available on the Investor Relations section of our web site at investor.google.com/committee_audit.html. To view the charter, select Board Committees under Corporate Governance and then Audit Committee Charter. The Committee oversees Googles financial reporting process on behalf of the board of directors. Management is responsible for the preparation, presentation and integrity of the financial statements, including establishing accounting and financial reporting principles and designing systems of internal controls over financial reporting. Googles independent auditors are responsible for expressing an opinion as to the conformity of Googles consolidated financial statements with generally accepted accounting principles and auditing managements assessment of the effectiveness of internal control over financial reporting. In performing its responsibilities, the Committee has reviewed and discussed, with management and the independent auditors, the audited consolidated financial statements in Googles Annual Report on Form 10-K for the year ended December 31, 2008. The Committee has also discussed with the independent auditors matters required to be discussed by Statement on Auditing Standards No. 61, as amended (Codification of Statements on Auditing Standards, AU 380), as adopted by the Public Company Accounting Oversight Board (the PCAOB) in Rule 3200T. Pursuant to the applicable requirements of the PCAOB regarding the independent auditors communications with the Committee concerning independence, the Committee received written disclosures and the letter from the independent auditors, and discussed with the auditors their independence. Based on the reviews and discussions referred to above, the Committee recommended to the board of directors that the audited consolidated financial statements be included in Googles Annual Report on Form 10-K for the year ended December 31, 2008.
