(the Issuer), intends to offer 200 million aggregate principal amount of senior notes due 2021. The senior notes will be fully and unconditionally guaranteed on a senior basis by the Company. The Issuer intends to use the net proceeds from the offering to repay non-U.S. borrowings under the Companys revolving multicurrency credit facility, without any permanent reduction of the commitments thereunder, and for general corporate purposes, including the financing of acquisitions.

The Company hereby provides the following disclosure:
The foregoing information shall not constitute an offer to sell or the solicitation of an offer to buy the senior notes, nor shall there be any sale of the senior notes in any jurisdiction in which such offer, solicitation or sale would be unlawful.
