Amendment and Termination The Company intends the Plan to be permanent, but reserves the right at any time by action of its Board of Directors to modify, amend or terminate the Plan; provided, however, that any amendment or termination of the Plan shall not reduce or eliminate any Deferral Account accrued through the date of such amendment or termination. Upon termination of the Plan, the Committee may provide that, notwithstanding the Distribution Date or form selected by each Participant, all Deferral Accounts will be distributed on a date and in a form selected by the Committee. The Committee shall have the authority to adopt amendments to the Plan as set forth in resolutions of the Compensation and Employee Benefits Committee of the Board of
Directors of the Company. The Committee shall provide notice of amendments it adopts to the Compensation and Employee Benefits Committee of the Board of Directors of the Company on a timely basis.
Amendment and Termination While the Employers expect to continue the Plan indefinitely, the Corporation reserves the right to amend or terminate the Plan by action of the Board of Directors of the Corporation or by action of a committee or an individual authorized to amend or terminate the Plan, provided that in no event shall any Participants SERP Benefit accrued to the date of such amendment or termination be reduced or modified by such action.
