This excerpt taken from the HBI 8-K filed Sep 5, 2006. 2.39 Highly Compensated Employee Highly Compensated Employee means a highly compensated employee as defined in Code Section 414(q) and the regulations thereunder. Generally, a Highly Compensated Employee means any Employee who: (a) during the immediately preceding Plan Year received annual compensation from the Employers (determined in accordance with Code Section 415(c)(3)) of more than $95,000 (or such greater amount as may be determined by the Commissioner of Internal Revenue) and, at the Companys discretion for such preceding year, was in the top-paid twenty percent (20%) of the Employees for that year; or (b) was a five percent (5%) owner of an Employer during the current Plan Year or the immediately preceding Plan Year.

A former Participant shall be treated as a Highly Compensated Employee if such Participant was a Highly Compensated Employee when such Participant separated from service from a Controlled Group Member or such Participant was a Highly Compensated Employee at any time after attaining age fifty-five (55) years. |
