SEPARATION AND RELEASE AGREEMENT

Hanesbrands Inc. (the “Company”) and Joan P. McReynolds (“Executive”) enter into this Separation and Release Agreement which was received by Executive on the      day of             , 200  , signed by Executive on the      day of             , 200  , and is effective on the      day of             , 200   (the “Effective Date”). The Effective Date shall be no less than 7 days after the date signed by Executive.

SEPARATION AND RELEASE AGREEMENT
