This excerpt taken from the HSY DEF 14A filed Mar 10, 2008. Have there been any changes to directors compensation since the end of 2007? Following a review of competitive data, the Board elected in February 2008 to increase compensation for non-employee directors to be more closely aligned with compensation paid to directors at the peer group companies. Effective January 1, 2008, non-employee directors other than our non-executive Chairman of the Board will be paid an annual retainer of $80,000. Our non-executive Chairman of the Board will be paid an annual retainer of $180,000. These directors will receive quarterly RSU awards having a value equivalent to the number of shares of Common Stock equal to $30,000.

RSUs awarded to the Current Directors (excluding Mr. West) prior to 2008 will vest on January 1, 2009. RSUs awarded to these directors after 2007 will vest one year from the grant date and may be deferred by the directors until their membership on the Board ends. Vesting of RSUs will be accelerated to the date the directors membership on the Board terminates by reason of retirement (termination of service on the Board after age 60), death or disability, for any reason following a change in control, or for such other circumstance as the Board determines. Except for these changes, all other elements of director compensation described above remain unchanged. 27
