Additional Information about Fees Earned or Paid in Cash in Fiscal 2008

        The following table provides additional information about fees earned or paid in cash to non-employee directors in fiscal 2008:

The term of office for directors begins in March and ends the following February, which does not coincide with HP's November through October fiscal year. The dollar amounts shown include cash annual retainers earned for service during the last four months of the March 2007 through February 2008 Board term and cash annual retainers earned for service during the first eight months of the March 2008 through February 2009 Board term.

Committee chair and lead independent director fees are calculated based on service during each Board term. The dollar amounts shown include such fees earned for service during last four months of the March 2007 through February 2008 Board term and fees earned for service during the first eight months of the March 2008 through February 2009 Board term.

Additional meeting fees are calculated based on the number of committee meetings attended during each Board term. The dollar amounts shown include additional meeting fees earned for meetings attended during last four months of the March 2007 through February 2008 Board term and additional meeting fees earned for meetings attended during the first eight months of the March 2008 through February 2009 Board term.

The $76,415 earned by Mr. Hackborn for committee chair/lead independent director fees includes a prorated amount of $41,415 earned with respect to his service as lead independent director from November 2007 until the appointment of Mr. Ryan as his successor as lead independent director in September 2008.

The $83,333 in cash annual retainers earned by Mr. Joyce includes a $33,333 cash annual retainer for the March 2008 through February 2009 Board term that Mr. Joyce deferred under the HP Executive Deferred Compensation Plan.

The $23,585 earned by Mr. Ryan for committee chair/lead independent director fees includes a prorated amount of $8,585 earned with respect to his service as lead independent director from his initial appointment in September 2008 through October 2008.
