This excerpt taken from the HPQ DEF 14A filed Jan 27, 2010. Transferability.
The Option Agreement must provide that an Incentive Stock Option cannot
be transferable by the Awardee otherwise than by will or the laws of descent
and distribution, and, during the lifetime of such Awardee, must not be
exercisable by any other person. If the terms of an Incentive Stock Option are
amended to permit transferability, the Option will be treated for tax purposes
as a Nonstatutory Stock Option.
(f) This excerpt taken from the HPQ 8-K filed Nov 23, 2005. F. TransferabilityIn the event of a Non-Employee Directors death, all of such persons rights to receive any accrued but unpaid Common Stock Payment or Option Payment will transfer to the maximum extent permitted by law to such persons beneficiary. Each Non-Employee Director may name, from time to time, any beneficiary or beneficiaries (which may be named contingently or successively) as his beneficiary for purposes of this Plan. Each designation shall be on a form prescribed by the Committee, will be effective only when delivered to HP and when effective will revoke all prior designations by the Non-Employee Director. If a Non-Employee Director dies with no such beneficiary designation in effect, such persons beneficiary shall be his estate and such persons payments will be transferable by will or pursuant to laws of descent and distribution applicable to such person.
