Evaluation of Disclosure Controls and Procedures As of March 31, 2009, the Company, under the supervision and with the participation of the Companys management, including its President and Chief Executive Officer and principal financial officer performed an evaluation of the effectiveness of the Companys disclosure controls and procedures (as defined in Rule 13a-15(e) of the Securities Exchange Act of 1934). The Companys management necessarily applied its judgment in assessing the costs and benefits of such controls and procedures, which by their nature can provide only reasonable assurance regarding managements control objectives. Based on this evaluation, the Companys President and Chief Executive Officer and principal financial officer concluded that the Companys disclosure controls and procedures were designed to comply with all requirements provided for in Rule 13a-15(e) of the Securities Exchange Act of 1934 and to ensure that information required to be disclosed by the Company in the reports that the Company files or submits under the Securities Exchange Act of 1934 is recorded, processed, summarized and reported, within the time periods specified in the Securities and Exchange Commissions rules and forms and to ensure that material information relating to the Company and its consolidated subsidiaries, is accumulated and communicated to the Companys management, including its President and Chief Executive Officer and its principal financial officer, as appropriate to allow timely decisions regarding required disclosure.
