Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On June 21, 2012, the board of directors of Hornbeck Offshore Services, Inc., or the Company, approved Amendment No. 1 to the Fourth Restated Bylaws, or the Amendment. The Amendment provides for the general administration of a dual stock certificate system and process for verification of the citizenship status of the Companys stockholders, consistent with Section 2 of the Companys Certificate of Incorporation.
The foregoing description of the Amendment does not purport to be complete and is qualified in its entirety by the Amendment, a copy of which is attached hereto as Exhibit 3.1 and incorporated herein by reference.
Item 5.07 Submission of Matters to a Vote of Security Holders.
Our annual meeting of stockholders was held on June 21, 2012. The matters voted upon and the results of the voting were as follows:
Proposal No. 1: Our stockholders re-elected three Class II directors to serve on the Companys Board of Directors for terms of three years or until their successors are duly elected and qualified or until the earlier of their death, resignation or removal.
Proposal No. 2: Our stockholders approved a proposal to ratify the reappointment of Ernst & Young LLP as the Companys independent registered public accountants and auditors for the fiscal year ending December 31, 2012.
Proposal No. 3: Our stockholders considered a non-binding, advisory vote to approve the compensation of the Companys named executive officers.
