Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On March 13, 2012, the Board of Directors (the “Board”) of Hudson City Bancorp, Inc. (the “Company”) approved an amendment to Article V of the Company’s Amended and Restated Bylaws to identify the Risk Committee as a standing committee of the Board. The Amended and Restated Bylaws were effective upon approval by the Board. The foregoing description of this amendment is qualified in its entirety by reference to the Amended and Restated Bylaws, which are attached hereto as Exhibit 3.2 and are incorporated herein by reference.
