(a) On June 11, 2010, IVAX Diagnostics, Inc. (the Company), upon the approval of the Audit Committee of the Companys Board of Directors, dismissed PricewaterhouseCoopers LLP (PwC) as the Companys independent registered public accounting firm. The Companys decision to dismiss PwC was made in connection with the Companys election to engage a new independent registered public accounting firm. The Company expects to announce the formal appointment of its new independent registered public accounting firm after such firm completes its internal new client acceptance procedures, which the Company has been informed are expected to be completed within a matter of days.
The audit reports of PwC on the Companys financial statements for the fiscal years ended December 31, 2009 and 2008 did not contain an adverse opinion or disclaimer of opinion, nor was it qualified or modified as to uncertainty, audit scope or accounting principles.
During the fiscal years ended December 31, 2009 and 2008 and the interim period through June 11, 2010, the Company had no disagreements with PwC on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreement, if not resolved to PwCs satisfaction, would have caused PwC to make reference to the subject matter of the disagreement in connection with its reports. In addition, during that time, there were no reportable events, as that term is defined in Item 304(a)(1)(v) of Regulation S-K.
The Company has provided PwC with a copy of the disclosures required by Item 304(a) of Regulation S-K contained in this Current Report on Form 8-K and has requested that PwC furnish the Company with a letter addressed to the Securities and Exchange Commission stating whether PwC agrees with the statements made by the Company in this Current Report on Form 8-K and, if not, stating the respects in which it does not agree. A copy of PwCs letter, dated June 17, 2010, is filed as Exhibit 16.1 to this Current Report on Form 8-K.
