This excerpt taken from the ICI 20-F filed Apr 1, 2005. "Encumbrances"
means any right to acquire, option, right of pre-emption or conversion, mortgage
or deed of trust, charge (fixed or floating), pledge, lien, assignment by way
of security, deposit arrangement, claim, hypothecation, trust or trust arrangement,
or any agreement to create the same or other similar third party right or interest
(legal or equitable) in the nature of a security interest however created or
arising, easements, servitudes, restrictive covenants, or encumbrances affecting
any real property or portion thereof, any preference, priority or other security
agreement and the filing of, or agreement to give, any financing statement perfecting
a security interest under the Uniform Commercial Code or comparable law in Canada;
