Remuneration of the Auditor for each of the two years ending December 31, 2005 and 2004, set out in accordance with SEC Regulations, was as follows:

Notes

  (a) Expenditure on audit for 2005 and 2004 related principally to the remuneration of the Auditor for the audit of the accounts of the parent company and of the Group and the review of interim financial statements of the Group for 2005 and 2004.
     
  (b) Expenditure on audit-related services in 2005 related principally to assistance in preparation for compliance with the requirements of Section 404 of the Sarbanes-Oxley Act 2002 and in respect of the audit of the accounts of certain of the Group’s post- retirement employee benefit plans. Expenditure in 2004 related principally to the transition to IFRS reporting and in respect of the audit of the accounts of certain of the Group’s post-retirement employee benefit plans.
     
  (c) Expenditure on tax services for 2005 comprised compliance services of £0.2m and advisory services of £0.3m. Expenditure on tax services for 2004 comprised compliance services of £0.3m and advisory services of £0.4m.

1. Expenditure in 2004 related principally to remuneration of the Auditor for the statutory audit of the Group and the review of interim financial statements. Expenditure in 2003 related principally to remuneration of the Auditor for the statutory audit of the Group, the issuance of Guaranteed Loan Notes 2008 and 2013 and the review of interim financial statements. Expenditure in 2002 related principally to the remuneration of the Auditor for the statutory audit of the Group, the Rights Issue and the review of interim financial statements.
   
2. Expenditure in 2004 related principally to the transition to IFRS reporting and employee benefit plans. Expenditure in 2003 related principally to the employee benefit plans. Expenditure in 2002 related principally to the employee benefit plans and divestment transactions.
   
3. Tax services for 2004 comprised compliance services £0.3m and advisory services £0.4m. Tax services for 2003 comprised compliance services £0.6m and advisory services £0.2m. Tax services for 2002 comprised compliance services £0.9m and advisory services £0.2m.
 

Included within fees for taxation services in prior periods are aggregate payments of £114,000 in respect of findings based fee arrangements entered into or paid by ICI after February 5, 2001.
