In the event of the liquidation of ICI, after payment of all liabilities and deductions in accordance with English law, the liquidator may, with the sanction of an extraordinary resolution of the Company, distribute the balance of assets available for distribution first among the holders of the Company’s ordinary shares according to the amounts paid-up on the shares held by them.
