Item 8.01 Other Events

During the Company's conference call to discuss fourth quarter 2011 results and during webcast presentations at investor conferences in early 2012, the Company disclosed that it was in discussions with a bank to obtain a $5.0 million line of credit to be used for acquisition financing. Subsequently, the Company decided that it would defer negotiations of such a facility until the Company requires financing to supplement its cash on hand and projected cash flow.
