Upon completion of the merger, former old Infinity owned approximately 69% of the combined company on a fully-diluted basis and former DPI owned approximately 31% of the combined company on a fully-diluted basis. Accordingly, for all purposes, including SEC reporting, the financial statements for periods prior to the merger reflect the historical results of Old Infinity, and not DPI, and financial statements for all subsequent periods reflect the results of the combined company.
Infinity is headquartered in Cambridge, Massachusetts. As of March 31, 2007, the company had 115 full-time employees, 93 of whom were engaged in research and development and 22 of whom were engaged in management, administration and finance.
