The aggregate market value of the voting stock held by non-affiliates of the Registrant, based on the closing price on March 31, 2008, the last business day of the Registrant’s most recently completed second fiscal quarter, as reported on the NASDAQ National Market System, was approximately $246.2 million. Integral Systems, Inc. hereby amends its Annual Report on Form 10-K for the fiscal year ended September 30, 2008 filed with the Securities and Exchange Commission on December 24, 2008 to correct the disclosure regarding equity compensation plan information set forth under Item 12 of Part III.
