This excerpt taken from the ITMN DEF 14A filed Apr 20, 2005. Term. The
maximum option term is ten years. However, options generally will terminate
three months after the optionholders service with the Company terminates, or,
in the case of an option granted to the Chairman of the Board in his or her
capacity as Chairman, three months after the optionholders service as Chairman
terminates. If termination is due to the optionholders disability, however,
the post-termination exercise period is extended to 12 months. If
termination is due to the optionholders death or if the optionholder dies
within three months after his or her service terminates, the post-termination
exercise period is extended to 18 months following death.
