FEES The Audit Committee or its Chairman pre-approves the audit and non-audit services to be rendered to the Company, as well as the fees associated with such services. Generally, management will submit to the Audit Committee a detailed list of services that it recommends the Audit Committee engage the independent auditors to provide for the calendar year. The Audit Committee pre-approves certain audit and non-audit services and establishes a dollar limit on the amount of fees the Company will pay for each category of services. The Audit Committee is informed from time to time on the non-audit services actually provided pursuant to the pre-approval process. During the year, the Audit Committee periodically reviews the types of services and dollar amounts approved and adjusts such amounts, as it deems appropriate. Unless a service to be provided by the independent auditors has received general pre-approval, it will require specific pre-approval by the Audit Committee. The Audit Committee also periodically reviews all non-audit services to ensure such services do not impair the independence of the Companys independent registered public accounting firm. The Audit Committee approved all services provided by E&Y for the 2005 and 2006 calendar years. These services included the audit of the Companys annual financial statements, audit of the Companys internal control over financial reporting, review of the Companys quarterly financial statements, tax consultation services, and consents for and review of registration statements filed with the SEC. The following table shows the fees billed by E&Y for audit and other services provided to the Company for the 2006 and 2005 calendar years respectively:
The Audit Committee has considered whether the non-audit services provided by E&Y, including the services rendered in connection with income tax consultation, were compatible with maintaining E&Ys independence and has determined that the nature and substance of the limited non-audit services did not impair the status of E&Y as the Companys independent registered public accounting firm.
