Item 1.01. Entry into a Material Definitive Agreement
On August 2, 2006, Tycos Healthcare Segment announced that it had agreed to acquire 37.25 percent of the share capital of Airox S.A. for approximately $40 million. A copy of the press release is furnished as Exhibit 99.2 to this report and incorporated by reference in this Item 1.01
On August 3, 2006, Tyco International Ltd (the Company) announced that the Company has entered into a definitive agreement to sell the Tyco Printed Circuit Group business for $226 million.
