Certain Fees

ThinkEquity Partners LLC, which has acted as financial advisor to the Company in connection with, among other things, the offering of the Shares shall be entitled to a fee upon the Closing. This fee shall reduce (and not be in addition to) the Cash Placement Fee being paid to the Placement Agent pursuant hereto.
