This excerpt taken from the KFN 8-K filed May 4, 2007. “Affiliate” means,
with respect to any Person, (i) any Person directly or indirectly
controlling, controlled by or under common control with such Person or
(ii) any officer, director, general partner, member or trustee of such
Person. For purposes of this definition, the terms “controlling,” “controlled by” or
“under common control
with” shall mean, with respect to any Persons, the possession,
direct or indirect, of the power to direct or cause the direction of the
management and policies of a Person, whether through the ownership of voting
securities, by contract or otherwise, or the power to elect at least 50% of the
directors, managers, general partners or Persons exercising similar authority
with respect to such Person.
”Agreement” has the meaning set forth in the introductory paragraph hereof. |
