Item 4. Submission of Matters to a Vote of Security Holders

The Company’s 2006 Annual Meeting of Stockholders was held on December 6, 2006. At the Annual Meeting, the Company’s stockholders (i) elected Joseph W. Kaufmann, Harold N. Chefitz, and Steve J. Lee as Class II Directors to the Company’s board of directors, (ii) approved the Fifth Amended and Restated Kensey Nash Corporation Employee Incentive Compensation Plan, and (iii) ratified the appointment by the Company’s board of directors of Deloitte & Touche LLP as the independent auditors of the Company’s financial statements for the fiscal year ending June 30, 2007. On June 22, 2006, the Company held a Special Meeting of Stockholders.
