Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On January 5, 2006, Landstar System, Inc. (the "Company") appointed Ronald G. Stanley the new Vice President and Chief Operating Officer of the Company. Mr. Stanley, age 55, has served as President of Landstar Express America, Inc., a wholly owned subsidiary of the Company, since February 1996.
