Raymond H. Melcher, Jr.

        In February 2005, Leesport Financial Corp., Leesport Bank and Raymond H. Melcher, Jr., Chairman, President and Chief Executive Officer of Leesport and the Bank, entered into a new employment agreement, dated as of January 1, 2005. The agreement replaced Mr. Melcher's previous employment agreement, dated June 15, 1998, as amended January 22, 2002.

        On March 17, 2005, Mr. Melcher resigned his positions with Leesport Financial Corp., Leesport Bank and all of their respective affiliated companies to pursue other interests. In connection with Mr. Melcher's termination of employment, the employment agreement, dated as of January 1, 2005, was terminated.
