ITEM 2.02.  RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On January 12, 2010, Linear Technology Corporation issued a press release titled “Linear Technology reports quarterly and year over year increases in revenues and operating profits with revenues growing 9% sequentially from the prior quarter.  The Company is also raising its quarterly dividend and guiding for continued strong sales growth in the third quarter.”  The text of the Company’s press release is attached hereto as Exhibit 99.1.
