Equity Incentive Plan. Performance units and performance shares are Awards that
result in a payment to a participant only if the performance goals or other
vesting criteria established by the plan administrator are achieved. Performance
units and performance shares have initial values equal to the fair market value
of one share of the Company's common stock on the grant date, and are payable in
cash, shares or a combination of cash and shares. No participant may receive
more than 1,500,000 performance shares or performance units during any fiscal
year, except that a participant may be granted performance shares or performance
units covering up to an additional 1,500,000 shares in connection with his or
her initial employment.
