Facility C Commitment” means:

(a)                                  in relation to a Lender, the amount in the Base Currency set opposite its name (and, as the case may be the name of its branch) under the heading “Facility C Commitment” in Part IV of Schedule 1 (The Parties) and the amount of any other Facility C Commitment transferred to it under this Agreement; and

(b)                                 in relation to any other Lender, the amount in the Base Currency of any Facility C Commitment transferred to it under this Agreement.

to the extent not cancelled, reduced (other than, for the avoidance of doubt, by way of Utilisation) or transferred by it under this Agreement.
