  Governing Law; Conflicts.   The Plan shall be construed in accordance with and governed by the laws of the Republic of Italy, except as otherwise required by the laws of the United States or the laws of the jurisdiction where the Participant performs services for the Company or one of its Subsidiaries. In the event of any conflict or inconsistency between the terms of the Plan and any Shareholder Action, the Shareholder Action shall govern.
