Changes in Executive Officers
On May 30, 2006, the Company announced in a press release, included as an exhibit to the Companys Form 8-K furnished to the Securities and Exchange Commission on May 30, 2006, that it had entered into a letter agreement with C. Edward Chaplin, a member of MBIA Inc.s Board of Directors since 2002, pursuant to which he would join MBIA as Chief Financial Officer, Vice Chair of MBIA Insurance Corporation and a member of the Executive Policy Committee effective June 26, 2006. In connection with Mr. Chaplin becoming an executive officer of the Company and pursuant to that letter agreement, he resigned as Director of the Company on May 24, 2006. A copy of that letter agreement is filed as Exhibit 10.0 to this Form 10-Q.
Mr. Nicholas Ferreri, MBIAs former Chief Financial Officer, stepped down from that position for personal reasons effective June 26, 2006 and remained with the Company for another two weeks to assist in the transition of the Chief Financial Officer position to Mr. Chaplin.
