Item 8.01 Other Events
On August 29, 2011, MOD-PAC CORP. (the Company) issued a press release announcing that its Board of Directors of the Company had authorized an increase in its existing stock repurchase plan up to an aggregate of 200,00 shares of its outstanding common stock. The Companys existing repurchase plan has a remaining authorization of 17,461 shares of common stock. The repurchase plan provides for the repurchases to be made in open market or privately negotiated transactions in compliance with Rule 10b-18 under the Securities Exchange Act of 1934, as amended, subject to market and business conditions, applicable legal requirements and other factors. The repurchase plan does not obligate the Company to purchase any particular number of shares, and may be suspended at any time at the discretion of the Company in accordance with Rule 10b-18.
