Purpose and Rationale for the Proposed Amendment
The Board is recommending the approval of the company name change to reflect the transformation that the company has experienced in recent years. Effective February 1, 2006, Federated realigned its store operations into eight retail operating divisions seven Macys and one Bloomingdales. At the same time, it began to market and advertise the Macys retail operations on a nationwide basis as a nationwide department store. The Board believes that changing the companys name to reflect one of its primary trade names will further promote the national awareness of the company in the minds of consumers, vendors, stockholders and the investment community.
