The fair market value is based on the average of the high and low trading price of Marathon's common stock on December 31, 2004 which was $37.565. Exercisable options/SARs have been held at least one year from the date of grant.

As described in the Compensation Committee Report, in 2004 the Company granted long-term incentive awards in the form of performance shares under the 2003 Incentive Compensation Plan. In addition, the Company granted nominal levels of performance shares under the 1990 Stock Plan in order to fulfill the terms of the long-term incentive program established in 2000.
