Meetings of our Board of Directors; Attendance

There were 16 meetings of our board of directors in fiscal 2009, which included six in-person meetings at our U.S. headquarters. All directors attended at least 75% of the total number of meetings of the board and committees on which such director served. The independent directors meet in executive sessions without the presence of the non-independent directors or members of our management at least twice per year during regularly scheduled board meeting days and otherwise from time to time as deemed necessary or appropriate.

Although directors are encouraged to attend annual general meetings, we do not have a formal policy requiring such attendance. Two directors attended the 2008 annual general meeting of shareholders.

    Meetings of our Board of Directors; Attendance

        There were 27 meetings of our board of directors in fiscal 2008. Our former director, Michael Sophie, attended three of the seven meetings of the audit committee held in fiscal 2008 after his appointment to our board of directors on October 19, 2007 and prior to his resignation from our board of directors, executive compensation and the audit committees effective as of December 6, 2007. Dr. Gromer attended four of six meetings of the governance committee held in the fiscal 2008 after his appointment to the governance committee on October 26, 2007.

        Except as noted above, all other directors attended at least 75% of the total number of board and committee meetings on which such director served.

        Although directors are encouraged to attend annual general meetings, we do not have a formal policy requiring such attendance. Five directors attended the 2007 annual general meeting.

Meetings of the Board of Directors; Attendance

There were 22 meetings of the board of directors in the 2007 fiscal year. Our former director, Dr. John Cioffi, attended two of the three meetings of the board of directors and the executive compensation committee held in the 2007 fiscal year prior to his resignation from both the board of directors and the executive compensation committee effective as of April 1, 2006. Kuo Wei (Herbert) Chang attended one of two meetings of the executive compensation committee held in the 2007 fiscal year prior to his resignation from the committee effective as of March 10, 2006.

Except as noted above, all other directors attended at least 75% of the total number of board and committee meetings on which such director served.

Although directors are encouraged to attend annual general meetings, we do not have a formal policy requiring such attendance. Four directors attended the 2006 annual general meeting.
