Shareholders of record as of the close of business on May 23, 2008 are entitled to notice of and vote at the annual general meeting of shareholders.

PART III

On June 30, 2007, the Board of Directors of the Company authorized the Company to indemnify certain current and former directors, officers and employees of the Company and its subsidiary Marvell Semiconductor, Inc. for reasonable costs and expenses incurred by such individuals in connection with certain civil actions and governmental investigations relating to the Company’s past stock option granting practices. The Company’s agreement to pay reasonable fees and costs is subject to each individual’s agreement to reimburse the Company in the event that it is subsequently determined that the individual is not entitled to indemnification under the Company’s bye-laws or applicable law.

As previously reported in the Current Report on Form 8-K filed by us on February 17, 2006, we and an affiliate (collectively, “Marvell”) entered into an agreement to acquire the printer semiconductor business of Avago Technologies Limited and its affiliates (the “Agreement”). On April 11, 2006, Marvell entered into an amendment to the Agreement (the “Amendment”) whereby the parties agreed, among other matters, to amend the termination date of the Agreement to May 31, 2006, while limiting certain closing conditions to matters that existed on April 4, 2006. The parties anticipate closing the transaction on May 1, 2006.
